Service Provider Identification
These Terms and Conditions are concluded between:
Pisoft Lite, a software development company, represented by Gilles NGASSAM

hereinafter referred to as "Pisoft Lite" or "the Service Provider"
and any legal entity or individual who has requested services from Pisoft Lite, hereinafter referred to as "the Client".
Purpose
These Terms and Conditions govern the relationship between Pisoft Lite and its clients for IT service provisions.
Services Offered
Pisoft Lite offers the following services:
• Custom web application development
• Mobile application development (iOS, Android)
• Desktop software development (Windows, Mac)
• Maintenance and technical support
Quotes and Orders
Every project begins with a free analysis of your needs, followed by a detailed quote. The quote is valid for 30 days. The order is confirmed upon receipt of the signed quote and the agreed deposit.
Pricing and Payment
Prices are quoted in euros (€) and may vary depending on project complexity. Unless otherwise agreed, payment is structured as follows:
• 30% upon order
• 40% at intermediate delivery
• 30% at final delivery
Delivery Timeline
Timelines are defined in the quote based on the nature of the project. Pisoft Lite commits to meeting agreed deadlines and informing the client of any potential delays.
Intellectual Property
Upon final delivery and full payment, the client becomes the owner of the source code and deliverables specifically developed for their project. Third-party tools, libraries and frameworks remain subject to their respective licenses.
Warranty and Support
Pisoft Lite guarantees the proper functioning of deliverables for 3 months after final delivery. This warranty covers bug fixes and malfunctions, excluding changes requested by the client.
Liability
Pisoft Lite commits to performing its services with diligence and professionalism. Our liability is limited to the total amount of the service concerned. We cannot be held responsible for indirect damages.
Confidentiality
Pisoft Lite commits to treating as strictly confidential all information provided by the client in connection with the project (business data, internal processes, user data, system access). This confidentiality obligation applies for the entire duration of the project and for 3 years after its completion. Pisoft Lite will not disclose such information to any third party without prior written consent from the client, except where required by law.
Scope Changes
Any request to modify the initial project scope must be submitted in writing (email or project management tool). Pisoft Lite commits to responding within 5 business days.
• Minor changes (not substantially affecting timelines or budget): integrated at no extra cost, at Pisoft Lite's discretion.
• Major changes (additional features, scope changes, partial redesign): subject to a written amendment signed by both parties, with a revised quote and updated schedule.
Acceptance Testing
Upon each delivery (intermediate or final), the client has 10 business days to verify the conformity of the deliverables and submit any reservations in writing.
If no feedback is received within this period, the deliverables are deemed tacitly accepted. Corrections of reservations raised within the allotted period are covered by the warranty. Requests submitted after tacit acceptance or outside the deadline are treated as scope changes.
Termination
Either party may terminate the contract in case of serious breach by the other party, after formal notice remaining without effect for 15 days.
In case of termination initiated by the client (not due to Pisoft Lite's fault), amounts paid for work already completed are retained. Deliverables produced up to the termination date are handed over to the client in their current state, after settlement of outstanding amounts.
In case of termination initiated by Pisoft Lite (not due to the client's fault), amounts paid for work not yet carried out are refunded within 30 days.
Force Majeure
Pisoft Lite cannot be held responsible for any delay or inability to perform resulting from a force majeure event as defined by article 1218 of the French Civil Code: natural disaster, pandemic, internet infrastructure failure, prolonged power outage, or any other unforeseeable, irresistible and external event. Pisoft Lite will notify the client as soon as possible and propose a revised delivery schedule.
Governing Law and Jurisdiction
These Terms and Conditions are governed by French law. In case of dispute, the parties agree to seek an amicable solution before any legal action. Failing an amicable agreement, the dispute shall be brought before the Tribunal judiciaire de Strasbourg (having jurisdiction over Strasbourg, Bas-Rhin).
For clients established outside France, the parties may agree in writing on an alternative applicable law and/or an international arbitration procedure.
